The club was formed by Memorandum of Association 1960 (Memorandum). This sets out the objects for which the company was established, principally ‘to promote and further the sport of yachting and sailing, amongst members, in Cardigan Bay’ (3a)
The Articles of Association (Articles) sets out how the company will fulfil the objectives set out in the Memorandum. An example was a Special Resolution at the AGM in 2010 to allow electronic communications with members. The Memorandum, Articles and Special Resolutions are registered with Companies House.
Section 35 of the Articles enables the Management Committee to ‘... make, alter and repeal any byelaws they consider necessary or expedient or convenient for the proper conduct and management of the Club’ BUT may not be inconsistent with our Memorandum, Articles or in breach of any statutory provision.
